1. Agreement to these terms

These Terms & Conditions govern your access to and use of the Tea Drop website and your dealings with Tea Drop as a wholesale customer or prospective partner. By using this site or placing an order, you agree to be bound by these terms.

If you are entering into these terms on behalf of a business, you confirm that you are authorised to bind that business.

2. Wholesale accounts

Wholesale ordering and trade pricing are available only to approved partners. We may require a valid ABN and business details before approving an account, and we may decline or revoke an account at our discretion.

You are responsible for keeping your account credentials secure and for all activity that occurs under your account.

3. Orders and acceptance

An order placed through the trade portal or with our team is an offer to purchase. No order is binding until we accept it and confirm dispatch. We may decline or limit any order, including where a product is unavailable or where we suspect the order is fraudulent.

4. Pricing and payment

All prices are in Australian dollars (AUD) and, unless stated otherwise, exclude GST and delivery. Trade pricing is confidential to approved partners and may change from time to time.

Payment terms are as set out in your account agreement or invoice. We may suspend supply where an account is overdue.

5. Delivery and risk

We will use reasonable efforts to deliver within estimated timeframes, but delivery dates are estimates only and are not guaranteed. Risk in the goods passes to you on delivery to your nominated address.

6. Returns, damages and cancellations

Please inspect goods on delivery and notify us of any shortage, damage or fault within a reasonable time. Where goods are faulty or not as described, you are entitled to a remedy in accordance with the Australian Consumer Law.

Change-of-mind returns on wholesale orders are at our discretion and may be subject to conditions.

7. Product information

We take care to describe our products accurately, including ingredients and allergen information. However, product details and packaging may change, and you should always check the label supplied with the goods before serving to end customers.

8. Intellectual property

The Tea Drop name, logo, product names, imagery and website content are the property of Tea Drop or its licensors and are protected by law. You may not use them without our prior written consent, except to promote the sale of Tea Drop products you have purchased.

9. Liability

Nothing in these terms excludes rights or remedies you have under the Australian Consumer Law that cannot lawfully be excluded. Subject to those rights, to the extent permitted by law our liability arising out of the supply of goods is limited, at our option, to replacing the goods or supplying equivalent goods.

To the extent permitted by law, we are not liable for indirect or consequential loss.

10. Privacy

We handle personal information in accordance with our Privacy Policy, which forms part of these terms.

11. Governing law

These terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State.

12. Changes to these terms

We may update these terms from time to time. The current version will always be available on this page, and your continued use of the site or your account constitutes acceptance of the updated terms.
